NONDISCLOSURE AND CONFIDENTIALITY AGREEMENT

This Confidentiality & Nondisclosure Agreement (“Agreement”) is between Enhance Innovations (“Enhance”) and the Inventor identified below.

The purpose of this Agreement is simple: the Inventor wants to share confidential information with Enhance so we can evaluate and discuss a new product or invention. Enhance agrees to keep that information confidential under the terms below.

Confidential Information

For this Agreement, “Confidential Information” means any non-public information the Inventor shares with Enhance about an invention, product, design, process, prototype, business opportunity, or other proprietary information, whether it’s shared in writing, electronically, verbally, or in any other form.

The Inventor represents that they have the right to share this information with Enhance.

Our Commitment

Enhance will treat the Inventor’s Confidential Information as confidential and will not disclose it to anyone outside the company, except employees or contractors who need the information to work on the project and who are expected to keep it confidential as well.

Enhance will only use the Confidential Information to evaluate the invention or provide services requested by the Inventor.

Enhance will take reasonable steps to protect the Confidential Information from unauthorized use or disclosure.

What Isn’t Covered

This Agreement doesn’t apply to information that:

• was already known to Enhance before the Inventor shared it;
• becomes public through no fault of Enhance;
• is received from someone who has the legal right to disclose it;
• is developed independently by Enhance without using the Inventor’s Confidential Information; or
• must be disclosed by law or court order. If that happens, Enhance will notify the Inventor first whenever legally allowed.

Ownership

The Inventor keeps all ownership rights to their Confidential Information.

Nothing in this Agreement gives Enhance ownership of the Inventor’s ideas, inventions, or intellectual property. The purpose of this Agreement is simply to allow the parties to discuss and evaluate the invention.

How Long This Lasts

Enhance’s obligation to keep the information confidential continues unless the information becomes publicly available through no fault of Enhance or the parties agree otherwise in writing.

Minnesota Law

This Agreement is governed by the laws of the State of Minnesota.

Any legal action relating to this Agreement must be brought in the state or federal courts located in Hennepin County, Minnesota.

Entire Agreement

This Agreement is the complete understanding between the parties regarding confidentiality and replaces any previous discussions or agreements on this subject.
