WEBPAGE HOSTING AGREEMENT

By selecting the checkbox and completing your purchase of Webpage Hosting ($20/month or $199/year), you (“Client”) agree to the following terms with Enhance Product Development, Inc. d/b/a Enhance Innovations (“Enhance”), a Minnesota corporation.

1. Service & Pricing (select one or both)
– Standard Public Hosting
$20 per month OR $199 per year (billed annually)
The webpage is publicly accessible on the internet.
– Password-Protected Private Hosting Add-on (+5/month or +$49/year)
$25 per month OR $248 per year total (if selected)
The webpage will be protected by a username/password screen.Your selected plan auto-renews until cancelled. Cancel anytime with 30 days’ written notice to support@enhancepd.com. No prorated or partial-month refunds.

2. Hosting Service Description
Enhance will host your designated webpage(s) on our servers with reasonable storage, bandwidth, SSL certificate, basic security updates, and daily backups. We do not provide design, content updates, SEO, or e-commerce functionality unless separately agreed in writing.

3. Termination & Suspension
Enhance may immediately suspend or terminate hosting (without refund) if:
– Payment is 10+ days late
– Your site violates law or these terms
– Hosting the site creates legal, regulatory, or reputational risk for Enhance

4. Your Content & Legal Responsibility
You are 100% responsible for all content, product claims, pricing, images, and compliance with all laws (including FTC, FDA, CPSC, payment-card rules, privacy laws, etc.).
Intellectual Property Responsibility – You are solely responsible for obtaining, maintaining, and enforcing all IP rights (patents, trademarks, copyrights). You agree to mark products “Patent Pending” (not “Patented”) unless a patent actually issues. You will indemnify Enhance against any infringement claims or claims arising from misstatement of IP status.

5. Password-Protected Hosting Addendum
(a) Enhance will apply basic password protection (username + password).
(b) This is a courtesy feature only — it is not guaranteed to be secure against determined attackers, scraping tools, search engines that cache pages, or accidental sharing by you or your recipients.
(c) You acknowledge that any disclosure of the password or any unauthorized access does NOT prevent the page from being treated as a “public disclosure” under U.S. or foreign patent law. The one-year U.S. grace period and foreign novelty rules still apply.
(d) Enhance provides no patent or legal advice regarding when a password-protected page may be safely shown to third parties. You remain 100 % responsible for protecting patent novelty and all other IP rights.
(e) You will indemnify and hold Enhance harmless from any loss of patent rights, infringement claims, or other damages arising from use or breach of the password-protected feature.

6. Indemnification
You will defend, indemnify, and hold harmless Enhance, its officers, employees, and providers from any claims, damages, or expenses (including attorney fees) arising from your website, products, content, IP markings, or use of the hosting service (including the password-protected add-on).

7. No Warranties / Limitation of Liability
SERVICE IS PROVIDED “AS-IS.” ENHANCE DISCLAIMS ALL WARRANTIES. ENHANCE IS NOT LIABLE FOR INDIRECT, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR MORE THAN THE HOSTING FEES YOU PAID IN THE PRECEDING 12 MONTHS.

8. Privacy & Data
You are solely responsible for any personal data collected on your site and for complying with all privacy laws.

9. Force Majeure
Enhance is not liable for downtime or failures caused by events beyond our reasonable control.

10. Governing Law & Disputes
Minnesota law applies. Disputes will be resolved by binding arbitration in Minneapolis, Minnesota under American Arbitration Association commercial rules.

11. Changes to Terms
Enhance may update these terms at any time. Continued use after notice (posted on enhancepd.com or emailed) means you accept the changes.

By checking the box at checkout, you confirm you have read, understand, and agree to be legally bound by this Webpage Hosting Agreement.
